Terms of service
Last updated: · Version 1
This document is between you and DT Global Ventures Ltd, the company that operates CallMyDesk. Questions: send us a message. Privacy and data protection: send us a message and choose "Security or data protection".
This document is being reviewed by a solicitor before launch.
These are the terms on which DT Global Ventures Ltd ("we", "us") provides CallMyDesk to you. They cover the website, the demo line, early access, the founding-seat deposit and your account. By joining early access, paying a deposit or opening an account you agree to them. They are written to be read, and we would rather you read them than scroll past; the parts most people care about are section 5 (when it may call and text you, and how to stop it), section 6 (the confirmation rule), section 8 (prices and fair use), section 9 (the founding-seat deposit), section 10 (the free trial) and section 12 (canceling).
1. Who the contract is with, and who it is for
DT Global Ventures Ltd (CRN 16042336), a company registered in England and Wales, registered office as in the company block at the foot of this page. The service is for business use. By using it you confirm that you are 18 or over and are acting in the course of a business, whether as an employee, an owner, a partner or a sole proprietor. If you are using it for an employer, you confirm you are allowed to connect the employer's accounts and to agree these terms on the employer's behalf. The word "you" means that business and the person using the service.
2. What the service is
An assistant you reach by phoning a number we give you. With your permission it reads your connected inbox, calendar and CRM, drafts replies, notes and updates, researches on the web, books and moves meetings, calls and texts you at times you set (with the consent in section 5), and sends, books or logs things only after you have heard them read back and said yes. The current features of each plan are described on the pricing page on the day you buy and are part of the contract. We will tell you before we remove a feature you pay for.
3. What it is not
These are contractual limits:
- it is a one-to-one call between you and your assistant;
- it does not join, listen to or record your meetings or any other person's calls;
- it does not make marketing calls or send marketing texts to anyone (it says it is an AI on every call it places; see our AI disclosure);
- it does not move money, make payments, change passwords or delete mail;
- it does not identify you by your voice;
- it is not an inbound line for your customers or the public;
- it works in addition to the people you have and is not a substitute for them, for professional advice, or for the record-keeping your regulator may require of you (see section 15);
- it is not for emergencies and cannot contact emergency services.
4. Early access
During early access the service is new. Features may change, onboarding may pause, some integrations are limited (for example, Google Workspace is offered to a limited number of accounts while Google reviews our app), and we do not promise any uptime figure. Founding customers pay the prices on the pricing page at the time they join. We will give at least 30 days' notice by email before early access ends and standard terms begin.
5. Your account, your PIN, your number, and when it may call and text you
(a) Your account and PIN
One person per seat. Your PIN is yours alone; do not share it, and tell us at once if you think someone else has it. We may lock the line after repeated wrong attempts and we will email you when we do. The cell phone number you register is the one the assistant calls you on and texts one-time codes to; keep it current, and if you change it we will confirm the new number with a one-time code and ask for your consent again. You are responsible for calls made on your line with your PIN, except where we failed to apply the protections described on our security page.
(b) Calls and texts to you (your consent, and how to withdraw it)
The assistant calls and texts your cell phone only because you asked it to. At signup you are shown an unchecked box with these words, and nothing in this part applies until you have checked it and confirmed your number with the one-time code we text you:
"Yes, CallMyDesk may call and text this cell phone with an AI voice, at the times I choose, to deliver the briefs, alerts and summaries I ask for. Message and data rates may apply. I can say "stop" on any call or reply STOP to any text at any time. Consent is not a condition of purchase."
We keep a record of that consent (the wording you saw, the time, your IP address and device, and the result of the code) for four years. Every call it makes to you opens with the CallMyDesk name and a number you can call back, and every text carries the CallMyDesk name. The calls and texts contain no advertising. Texts come from a toll-free number for now.
You can withdraw your consent at any time and in any reasonable way: say "stop" (or "cancel", "quit", "end", "revoke", "opt out" or "unsubscribe") on any call, reply STOP to any text, switch scheduled calls off on your account page, or send us a message. We act on it at once, not within the ten business days the law allows. After a STOP text we send one text confirming what has stopped and how to stop the rest, and no more. Withdrawing consent does not end your account; it only ends the calls and texts the assistant makes to you, and you can still call it whenever you like. Consent is not a condition of buying or keeping the service: you may leave the box unchecked and use the service by calling it.
6. The confirmation rule
This is a term of this contract.
We promise that the assistant will not send an email or message, create or change a calendar entry, write to your CRM, or make any other change to a connected system, unless all of the following have happened on the call: it has read the action back to you in full, including the recipient, the gist and every name, number and amount in it; and, within 30 seconds of the read-back finishing, you said one of a short fixed list of yes-words ("yes", "send it", "confirm") or pressed 1 on the keypad. Anything else, including silence, "no", "stop", "change", a new subject or hanging up, cancels the action. Each confirmation applies to one action on one call and expires after 60 seconds. There is no setting that switches this off, and we will not add one to your account on request.
How the rule is enforced is described on our security page. It has two consequences:
- (a) An action you confirmed is your action. The email is your email, sent in your name; the CRM entry is your entry. You are responsible for listening to the read-back and for what you confirm. We are not liable for the consequences of an action you confirmed, including a misheard name, figure or recipient that was read back to you and confirmed.
- (b) An action taken without a valid confirmation is a defect in the service. We will investigate it, tell you what happened, correct what we can, and our liability for it is as set out in section 17.
7. Accuracy and limits
Speech recognition over a phone line, in a car, with background noise and with accents, is not perfect; that is why the assistant reads back names, numbers and recipients and why it asks when unsure. We do not promise that it hears or understands everything correctly, that web research is complete or current, or that drafts are suitable to send without your review. The read-back is the review.
8. Plans, prices and fair use
The plans and prices, the same as on the pricing page. Solo, Rep and Team each start with the free trial in section 10.
- Solo: $119 a month, or $99 a month billed yearly. One number, one inbox and calendar (Microsoft 365 or Google Workspace). Unlimited calls and texts with your assistant.
- Rep: $199 a month, or $179 a month billed yearly. Adds CRM read and write (HubSpot, Pipedrive or Salesforce), scheduled calls from the assistant (the morning brief and the end-of-day debrief, with the consent in section 5), documents and two inboxes. Unlimited calls and texts with your assistant.
- Team: $179 a seat a month, billed yearly, three seats minimum ($6,444 a year for three seats); annual only at launch. Everything in Rep on every seat, plus the admin console, the team audit log, retention controls, manager-visible activity in the CRM and priority support. Unlimited calls and texts per seat.
- Enterprise: for teams of 20 or more and regulated firms, priced on a call and provided on a separate written agreement.
- Extra phone number: $5 a month per number, on any plan.
The rules, as contractual terms:
Unlimited calls and texts between you and your assistant for normal individual business use. To keep pricing flat for everyone we may apply fair-use limits, currently a soft ceiling of 1,000 assistant-minutes per seat per month, and we'll contact you before any limit affects your service.
An assistant-minute is a minute on a call between you and your assistant, in either direction, including the calls it makes to you. We count it only to watch for fair use; it is never shown to you as a meter or a balance, and nothing stops at the ceiling. Normal individual business use means one named person using their own seat for their own work, however often they call. It does not include sharing or pooling a seat, connecting the line to another automated system, or bulk or automated calling, and we may limit or suspend a seat used in those ways under section 13 after contacting you. A single call is capped at 30 minutes; at 28 minutes the assistant says so and offers to call you back. There are no credits, no minute packs, no per-action fees and no charge for anything the assistant does off the call. No invoice will ever carry a usage line.
Prices are in US dollars and exclude sales tax, which is added at checkout where your state charges it and shown as its own line on the invoice. Price changes: at least 30 days' notice by email, taking effect at your next renewal; an annual plan keeps its price to the end of the year it was paid for.
9. The founding-seat deposit
The founding-seat deposit is $49 and is refundable in full at any time before your first invoice. Ask by email and we refund within five business days.
The deposit reserves a place in the first groups we set up, in the order deposits arrive (you can reserve a founding seat on the early-access page). Your seat still starts with the free trial in section 10, and the deposit is credited in full against your first paid month after the trial (on an annual plan, or on Team, against the first year's invoice). It is held through Stripe and does not earn interest. It is not a purchase of the service, and these terms about the service only begin to apply when you open an account. If we have not offered you a seat within 12 months of your deposit, or if we decide not to launch, we refund it in full without you asking. A refund goes back to the card you paid with. Sales tax, where your state charges it, is worked out when your seat is set up and the first invoice is raised with the deposit applied, not on the deposit itself.
10. Free trial, billing and payment
(a) The two-week free trial
Solo, Rep and Team each start with a free trial of 14 days. During early access the trial begins on the day your seat opens, which is the day your line is set up and you can first call it, not the day you join the list or pay a deposit. Nothing is charged during the trial. Billing starts on day 15, for the plan and billing period you chose when your seat was set up, unless you cancel before then. You can cancel at any time during the trial, from your account page or by email, and you pay nothing: the assistant's access to your accounts is revoked and your data is deleted as set out in section 12. If you paid the founding-seat deposit, it is credited against your first paid month after the trial (on an annual plan, or on Team, against the first year's invoice), and if you cancel during the trial it is refunded in full, as in section 9. Enterprise terms, including any trial or pilot, are set in the Enterprise agreement.
(b) Billing and payment
Monthly plans are billed in advance each month by card through Stripe; annual plans are billed in advance for the year; Team and Enterprise may pay by ACH or wire transfer against a 14-day invoice. Invoices show the plan, any extra seats or numbers, and sales tax where it applies, and nothing else; there is never a usage line. If a payment fails we tell you by email and try again over seven days; from the eighth day the line still answers but reads only (no sending, booking or logging) until the payment clears; after 30 days we may suspend the seat, and we tell you before we do. Invoices carry our company details; US customers' finance teams can have Form W-8BEN-E on request. Disputes about an invoice must be raised within 30 days of its date.
11. Changing plan
Move up at any time and the change applies straight away, with the unused part of your current period credited. Move down and it applies from your next billing date. Team seats added during the year are billed pro rata to the renewal date from the day they are added; seats can be removed at renewal, never below three.
12. Canceling, and what happens to your data
During the free trial you can cancel at any time and pay nothing (section 10). Monthly plans can be canceled at any time from your account page or by email and run to the end of the paid month; no refund of the current month. Annual plans can be canceled within 14 days of payment for a full refund; after that they run to the end of the paid year and do not renew automatically; we email you before the year ends.
Canceling revokes the assistant's access to your connected accounts in one step, stops scheduled calls and texts, and starts deletion: call audio within 30 days, transcripts within 90, everything else within 30 days of closing, or sooner if you ask. Export your transcripts, audit log and memory before you close the account if you want to keep them. Canceling from the account page takes no more steps than signing up did.
13. Our right to suspend or end the service
We may suspend your line or close your account, after telling you by email, if you are in serious breach of these terms, if a payment is 30 days overdue, if a seat is being used outside normal individual business use (section 8) after we have contacted you about it, if we reasonably believe the account is being used unlawfully or to attack the service, or if a law or a provider we depend on requires it. Where it is safe to do so we give you at least 14 days to put things right first. If we close your account other than for your breach, we refund the unused part of any period you have paid for.
14. Acceptable use
You must not:
- use the service to send unsolicited marketing, spam or anything unlawful;
- instruct the assistant to make a marketing call or send a marketing text to anyone, to deny being an AI, or to pretend to be you or another person on a call it places (see our AI disclosure);
- attempt to get round the confirmation rule, the PIN or any other protection;
- connect accounts you have no right to connect;
- share your PIN, share or pool a seat, or let more than one person use a seat;
- resell or white-label the service or connect the line to another automated system;
- use a seat for bulk or automated calling;
- use the line as an inbound number for your customers or the public;
- use the service to record any other person; or
- test the service's security other than as our security page invites.
We may refuse any instruction that would break the law or these terms, and the assistant is built to refuse some of them itself.
15. Professional and regulated use
The assistant's drafts, research and summaries are not legal, financial, tax or medical advice, and nothing it says to you or writes for you is. If you work in a regulated profession, you remain responsible for your own regulatory duties, including record-keeping, client communication rules and, for firms subject to books-and-records rules (SEC Rule 17a-4 and FINRA Rule 4511 in the United States; MiFID II taping for UK firms), recording and retaining the conversations those rules cover; the standard plans are not an archiving or taping solution and must not be relied on as one. The Team plan's retention controls and an Enterprise agreement can support such duties where agreed in writing. The optional "drafted with AI assistance" note on outgoing email is available to every plan.
16. Your content and ours
You own your content: what is in your connected accounts, what you say on calls, the transcripts, the audit log, what the assistant remembers about your work, and everything it drafts for you. You give us permission to process it only to provide the service, keep it secure and comply with the law; we never use it to train models, ours or anyone's, and that promise is repeated in the data processing agreement and passed to every sub-processor. We own the service, its software, its voice and its name; you may not copy, resell or reverse-engineer it. Feedback you give us may be used without obligation.
17. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit. Subject to that:
- we are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss;
- we are not liable for the consequences of an action you confirmed (section 6(a)), for a mishearing that was read back to you, for the content of your own connected accounts, for the acts or outages of Microsoft, Google, your CRM provider or your phone carrier, or for loss you could have avoided by listening to the read-back or keeping your PIN safe;
- our total liability to you in any 12-month period is limited to the fees you paid us in that period, and for the deposit alone to the amount of the deposit.
We take reasonable care to keep the service running and secure, and where we have failed to, these limits still apply. Some states do not allow some of these limits; where that is the case for you, they apply only as far as the law allows.
18. Your responsibility to us
If someone brings a claim against us because of content you sent through the service, an instruction you gave, or a breach of section 14, you will cover our reasonable costs of dealing with it.
19. Data protection
The data processing agreement is part of this contract and governs customer content, including the service-provider terms California's privacy law requires and, for UK customers, the UK GDPR annex. The privacy notice describes how we handle your account data.
20. Confidentiality
Each of us keeps the other's confidential information confidential and uses it only for this contract; what you tell the assistant is yours and is treated as confidential.
21. Third-party services
Microsoft 365, Google Workspace, HubSpot, Pipedrive, Salesforce and your phone carrier are not provided by us; their terms apply to them, we are not responsible for their availability or changes, and a change on their side may affect what the assistant can do.
22. Changes to these terms
We may change these terms with at least 30 days' notice by email. If a change materially reduces what you get or increases what you pay and you do not want it, you may cancel before it takes effect and we refund the unused part of any period you paid for. Using the service after the change takes effect means you accept it. Changes required by law may take effect sooner.
23. Events outside our control
Neither of us is responsible for failing to do something because of an event outside our reasonable control, such as a network outage, a provider failure or a change in the law, provided we tell the other and do what we reasonably can to put it right.
24. General
- Notices are given by email (ours to the address on your account; yours through our contact page) or by post to the registered office.
- The whole agreement is these terms, the data processing agreement, the pricing page as at the date of purchase and any Enterprise agreement.
- If a court finds a clause unenforceable, the rest stands.
- Not enforcing a right once does not waive it.
- You may not transfer the contract without our consent, and we may transfer it to a successor business on notice.
- No one other than you and us can enforce these terms (Contracts (Rights of Third Parties) Act 1999).
25. Governing law and courts
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that we may bring proceedings to protect our intellectual property or recover unpaid fees anywhere you are located. If you are in the United States, you agree to this choice of law and courts as a business customer; nothing in it takes away a right that the law of your state gives you and does not let you give up.
26. Complaints
Tell us through our contact page; we reply within two business days and aim to resolve within 14 days.
